PARTNERSHIP AGREEMENT



BETWEEN: [Insert name of Organisation] ® (hereinafter called “the [Insert initials of Organisation]) and the [Insert name of Organisation], (hereinafter called the [Insert initials of Organisation]) and the : [Insert name of Project], (hereinafter called the [Insert initials of Project]).

[A] INTRODUCTION:

The [Insert initials of Project] was established on the [Insert date], and the scheme is carried out in partnership with the Section. The concept of the [Insert initials of Project] was inaugurated in [Insert date project started], following formal approval for a pilot scheme to be setup in [Insert area(s)], it was followed over the next few years by the establishment of further units throughout the [Insert name of Greater/County] district.

[B] AIMS & OBJECTS:

The [Insert initials of Project] exits to encourage and motivate young people aged between 15 and 19 to develop their character, career prospects leadership qualities & interpersonal skills. Although young people have joined the [Insert initials of Organisation] as a result of their involvement, the [Insert initials of Project] [Insert objects of Project].

It is acknowledgement and recognised by the [Insert initials of Organisation] that the [Insert initials of Organisation] is governed by the provisions of the Charities Act 1992-3 and Companies Act 1985 and as such the [Insert initials of Project] is subject to the same as well, not withstanding that the [Insert initials of Organisation] is also governed by other statutes and internal regulations, which shall also be respected and adhered to, in so far as they do not conflict in law.

[C] VENUE(S)/PLACE OF MEETING:

The [Insert initials of Project] currently meet each [Insert whether day/evening, or both] in the [Insert venue address] although it is envisaged that it will have to move to another location in the foreseeable future, presently expected to be [Insert venue address of Project]. The [Insert initials of Project] shall, however meet at such place(s) and time(s) as deemed mutually appropriate and convenient between the, [Insert initials of Organisation] and the [Insert initials of Project].

[D] RESPONSIBILITY FOR THE OPERATION OF THE [INSERT INITIALS OF PROJECT]:

From the date above, all financial commitments will be divided between the [Insert initials of Organisation] and the [Insert initials of Organisation]. The [Insert initials of Organisation] shall share in the fundraising to meet the cost of actual work and schemes undertaken by the [Insert initials of Project] and ancillary matters thereto. The [Insert initials of Organisation] shall be solely responsible for the provision of complete uniforms and any other such resources/materials deemed necessary for the effective and efficient operation of the [Insert initials of Project] by the [Insert name of Organisation].

The day to day operation of the [Insert initials of Project] shall be carried out by the [Insert initials of Organisation], including the organisation and participation in events and activities. The [Insert initials of Organisation] shall, however, assist in any way deemed appropriate in this regard and liaise and collaborate with volunteer police officers involved and organising such events/activities to assist wherever possible.

The [Insert initials of Project] shall have a working group/committee which shall organise and arrange all events and activities comprising of Officers of the [Insert initials of Organisation] and users/members. A Director of the [Insert initials of Organisation], (who is neither a officer or user/member of the [Insert initials of Organisation]/[Insert initials of Project]), shall also be a co-opted member of that group/committee to independently interact between the [Insert initials of Organisation] and [Insert initials of Organisation]. Any decision of policy determined by this group/committee must be referred to the [Insert initials of Organisation]’s Board of Directors so that the [Insert initials of Organisation] is fully aware of the same, and where required, (as both Directors and Trustees), approve any such appropriate matters

The [Insert initials of Organisation] shall apply for and diligently take all such steps as are open to them to obtain all licences permissions and consents required by the [Insert name of Organisaton], law/by-laws regulations, orders and statutes as may be necessary to carry out the work of the [Insert initials of Project].

[E] FINANCE & FINANCIAL ARRANGEMENTS/COMMITMENTS:

Whilst mindful that the introduction of the [Insert initials of Project] in [Insert name of Borough/County] by the [Insert initials of Organisation] has been on the outstanding with the relevant authorities within the [Insert name of Organisaton] that the scheme shall operate so long as no financial burden is incurred by the latter, the [Insert initials of Organisation] maintains the same stance.

The [Insert initials of Organisation] will make every effort to support the [Insert initials of Project] in all its’ work and to help, wherever feasible to raise funds and resources to make the scheme a resounding success.

The [Insert initials of Organisation] is authorised to open such bank, savings or investment account(s) in the name of the [Insert initials of Project]’, as agreed in advance by the [Insert initials of Organisation]’s Board of Directors and minuted. Four signators shall be nominated by the [Insert initials of Organisation] to authorise and sign transactions, two of whom shall be from the [Insert initials of Project] and any two of the four may sign any such transaction or other arrangements. Their names shall also be recorded in the [Insert initials of Organisation]’s minutes.

The [Insert initials of Organisation] shall operate and maintain all accounts in relation to the [Insert initials of Project] and provide regular statements of affairs at its’ meetings or as may be required from time to time. Such accounts shall be incorporated into the [Insert initials of Organisation]’s overall annual income and expenditure with a separate balance sheet which shall be the subject of examination/verification each year in accordance with the Charities Acts 1992-93 and Companies Act 1985. Copies of these accounts shall be provided to both the [Insert initials of Project] and the [Insert initials of Organisation].

Any arrangements/agreements entered into with any third party viz, for sponsorship or other similar fundraising activity, must first be approved by the [Insert initials of Organisation] at its’ next meeting following such offer. No commitments can be made by any party to this Agreement where financial or other implications/ramifications may exist without again the prior knowledge and approval of the [Insert initials of Organisation]. As at the time of this Agreement this includes [Insert name(s) of funder(s)].

In the event of the [Insert initials of Project], for whatever reasons ceasing to operate, all the property and assets accumulated throughout its’ life shall be surrendered and belong to the [Insert initials of Organisation], which shall be the sole property and surrendered to the [Insert initials of Organisation].

Any outstanding debts of the [Insert initials of Project] in the event of 6 above shall be met from the residue of any bank, savings or investment account(s) held at the time to discharge all of the same in full. If insufficient funds shall exist to honour all such financial commitments, whilst the [Insert initials of Organisation] will endeavour to consider assisting with the same to finalise matters, such costs shall be the sole and ultimate responsibility of whoever made the commitment(s) involved, e.g. [Insert initials of Organisation] or [Insert initials of Organisation].

[F] PROPERTY/ASSETS:

All property and assets derived and accumulated by the [Insert initials of Project] shall remain at all time the property of the [Insert initials of Organisation], or anything displaying the logo, or suggesting association with [Insert the name of any third part body, if appropriate]), which shall be the sole property and responsibility of the [Insert initials of Organisation].

A record of all property and assets must be retained by the [Insert initials of Organisation] for inspection or audit so as to be property accountable for to any outside bodies who maybe permitted to check such matters.

[G] INDEMNITY:

Every person of the [Insert initials of Organisation] is held indemnified by both the [Insert initials of Organisation] and [Insert initials of Organisation], jointly and severally, for any act authorised by the [Insert initials of Project] through the [Insert initials of Organisation] and/or [Insert initials of Organisation], which they may do on behalf of the [Insert initials of Project] and which is within the scope of this Agreement and/or Memorandum & Articles of Association for the time being of the [Insert initials of Organisation], including legal and financial ramifications thereof.

The officers of the [Insert initials of Organisation] and/or any person(s) authorised to act on their behalf for the [Insert initials of Project] shall be relieved from liability where it also appears that any such individual has acted honestly and reasonably, and ought fairly to be excused from the breach of [Insert initials of Organisation] pursuant to Section 61 of Trustees Act 1925.

The [Insert initials of Organisation] and/or [Insert initials of Organisation] shall have the power to undertake such insurance as may be necessary to indemnify the officers of the [Insert initials of Organisation] and other person(s) duly authorised and acting on behalf of the [Insert initials of Project] against any personal liability save for that which is unlawful, provided that all such person(s) shall have performed duties in accordance with the provisions of this Memorandum & Articles of Association and acted in good faith, with no deliberate intent to mislead , jeopardise or prejudice the [Insert initials of Project] and its’ officers.

Neither the [Insert initials of Organisation] or [Insert initials of Organisation] may assign, or part with the interests under or the benefit of this Partnership Agreement, or any part thereof. Any matters or issues not covered by this Agreement shall be governed by the [Insert initials of Organisation]’s Memorandum & Articles of Association with the [Insert initials of Organisation] agrees to abide by.

If any differences shall arise between the parties or their respective representative touching their respective rights or liabilities under this Partnership Agreement, the matter in dispute shall, subject to the last preceding clause be referred to the [Insert initials of Organisation] Board of Directors in the First instance, and if still not mutually agreed, it shall be then referred to the determination of a single arbitrator to be agreed upon by the parties, or failing agreement, to a person nominated by the President for the time being of the Law Society of London in a manner provided by the Arbitration Act, or any statutory modification, or re-enactment thereof.
